Terms of Service

1. Acceptance of Terms

By accessing our website, booking a consultation, paying an invoice, subscribing to a monthly service plan, or signing an Engagement Letter with Enter And Post LLC, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a corporation, partnership, or LLC, you represent and warrant that you possess full legal authority to bind that entity.

2. Professional Engagement & Service Scope

Enter And Post LLC delivers specialized business operations services under clearly defined scopes:

• Certified Bookkeeping ($99 / Month): Ongoing categorization of business transactions, monthly reconciliations of checking, savings, and credit accounts, and generation of monthly Balance Sheets and Profit & Loss (P&L) statements.
• Corporate & Business Tax Preparation ($300 Flat Fee): Preparation and electronic filing of federal returns (Forms 1120-S, 1065, 1120, Schedule C) and required state/local returns (Oregon Department of Revenue, TriMet Transit Tax, Multnomah County Business Income Tax).
• Payroll Processing & Compliance ($7.50 / Employee): Timely execution of payroll direct deposits, federal and Oregon tax withholdings (Form OQ and Form 132), and annual W-2/1099 generation.
• Dedicated Virtual Staffing ($7.50 / Hour): Vetted professional personnel assigned to executive administration, bookkeeping assistance, customer service, or operational workflows.
• Custom AI Agents & Workflow Automation ($50 Setup): Development, configuration, and integration of autonomous edge agents, conversational assistants, and CRM workflows.
• Modern Web & Software Engineering (from $99): Full-stack web development, e-commerce stores, custom software, and API integrations with guaranteed performance and accessibility.

Specific engagements may be supplemented by a formalized Engagement Letter or Statement of Work (SOW), which controls in the event of any direct conflict with these general Terms.

3. Client Responsibilities & Accuracy of Records

The accuracy, completeness, and timeliness of our bookkeeping, payroll, and tax filings depend directly on information provided by the Client. You agree to:

• Provide complete, accurate, and truthful financial records, bank statements, receipts, and invoices in a timely manner.
• Maintain valid read-only or authorized accountant access to your QuickBooks Online, Xero, bank feeds, or payroll portals.
• Review and approve all draft tax returns (including signing IRS Form 8879 e-file authorizations) prior to submission.
• Immediately notify Enter And Post LLC of any material changes in your business structure, ownership, or tax elections.

Enter And Post LLC does not perform formal financial audits or attest engagements under AICPA auditing standards; our services constitute compilation, reconciliation, and tax compliance based on records furnished by you.

4. Fees, Billing, Subscriptions & Cancellation

We pride ourselves on transparent, predictable pricing with zero hidden surcharges:

• Monthly Retainers & Subscriptions: Ongoing services (such as $99/mo bookkeeping) are billed monthly in advance on a recurring schedule via authorized credit card or PayPal billing.
• Flat-Fee Tax & Project Engagements: Flat-rate projects (e.g., $300 tax filings or custom software builds) are billed with an upfront deposit and balance due upon draft delivery prior to final e-file transmission.
• Cancellation Policy: Monthly subscription services may be cancelled at any time with thirty (30) days’ written notice to info@enterandpost.com. No long-term lock-in contracts are required.
• Past-Due Accounts: Invoices outstanding beyond thirty (30) days may be subject to a 1.5% monthly late fee and temporary suspension of active software integration or filing services.

5. Confidentiality & Non-Disclosure

Enter And Post LLC agrees to hold all client financial statements, tax records, trade secrets, employee personal identifiers, and operational data in strict confidentiality. We will not disclose your confidential records to any third party except as authorized by you, required to perform contracted services (e.g., IRS e-file transmissions), or mandated by lawful court order or subpoena.

6. Intellectual Property & Deliverables

Upon full payment of all applicable fees, you retain 100% exclusive ownership of all completed financial statements, tax returns, custom website code, and deliverables created specifically for your business. Enter And Post LLC retains ownership of its proprietary internal tools, templates, calculation frameworks, and general know-how.

7. Warranties & Limitation of Liability

Enter And Post LLC warrants that all bookkeeping, tax preparation, and engineering services will be performed in a professional, diligent, and competent manner in accordance with prevailing industry practices.

Limitation of Liability: To the maximum extent permitted by applicable Oregon law, the total cumulative liability of Enter And Post LLC, its officers, employees, and agents arising out of or related to any service shall be strictly limited to the actual fees paid by the client to Enter And Post LLC for the specific service giving rise to the claim during the six (6) months immediately preceding the event. In no event shall Enter And Post LLC be liable for indirect, incidental, punitive, or consequential damages (including lost profits or business interruption).

8. Governing Law & Dispute Resolution

These Terms, and all claims or causes of action arising hereunder, shall be governed by and construed in accordance with the laws of the State of Oregon, without giving effect to any principles of conflicts of law. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the federal or state courts situated in Multnomah County, Oregon, and each party irrevocably submits to the personal jurisdiction of such courts.

9. Modifications to Terms

We reserve the right to modify these Terms periodically. Updated versions will be posted on this page with an updated “Last Updated” date. Continued use of our website or services following any modification constitutes full acceptance of the revised Terms.
